Where we explicitly advise against it
Resolutions requiring notarial form. Amendments to the articles, capital measures and comparable matters need notarial recording. A digital written procedure does not replace it, and Beschlussmanager does not pretend it can.
German works council resolutions. German works constitution law requires a meeting for works council resolutions; a written procedure is, on the prevailing view, not permissible there. We therefore do not sell Beschlussmanager for that purpose.
Both points cost us revenue. They are here because a resolution that is set aside later is more expensive than an honest no.
Common questions
Can shareholder resolutions be passed this way?
For many resolutions German company law allows a decision without a meeting where the conditions are met, often in text form. The limit matters: resolutions requiring notarial recording, such as amendments to the articles or capital measures, cannot be validly passed this way. Check the individual case with your legal advisers.
How do we connect Beschlussmanager to Entra ID?
Through OpenID Connect: register the app in your directory, add the redirect URL, put client ID and secret into Beschlussmanager, test the connection. User provisioning can additionally be automated through SCIM 2.0 so that accounts appear and disappear with the directory entry.
What does audit see?
The resolution PDF with motion, votes, outcome and SHA-256 checksum, plus the append-only audit trail. That is an integrity record, not a qualified electronic signature and not a GoBD certification – so we do not describe it as either.
Can several boards work separately?
Yes. Management, advisory board, supervisory board and committees are separate bodies with their own circle of people. Who may vote on a given resolution is set per resolution.
